Zipang and MSI 770-C45

my system:
MSI 770-C45 mainboard (link)
AMD Phenom II X3 720 CPU
2x2GB Crucial DDR3 RAM (no cooling device)
etc

The stock cooler for the CPU is somewhat noisy, so I am contemplating an upgrade.

Will the Scythe Zipang fit with this mainboard? Will it interfere with any of the ram slots? I'm not gonna upgrade my RAM any time soon, but in the future, having all slots free would be optimal.
