Referring to the images I'd guess because of the heatpipes next to the CPU socket. Depending on their height they could interfere with the aluminium fins fo the Ninja.
On the other hand in the Mugen thread this board is listed as compatible and the fins of the Mugen do not begin at such a different height. But as another user in the Katana thread reports that the onboard coolers are too high I still beliebe this is the reason why Ninja is listed as incompatible.
