Using the copper spacer is NOT a must. It depends: a) if you can achieve enough pressure without the spacer AND b) the cooler clears all mainboard components around the CPU socket without the spacer it is not necessary.

Looking at pics your board I'd guess it could fit without the spacer. The capacitors could be low enough. You could wait for someone with this combination to answer or use TR kit which is a good workaround 'cause you can use the socket 775 clip which is designed "better" than the socket 478 clip which you need for Scythe Ret Kit and which can collide with the capacitors.

And no Ninja Rev B is an improved version of Ninja A. It performs very good and is very suitable if you wish a silent setup.
